Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and MeTel, Inc, a Delaware corporation, doing business as Voice Sales Flow AI ("Company," "we," "our," or "us").

By accessing or using the Voice Sales Flow AI platform, website, APIs, widgets, or any related services (collectively, the "Service"), you agree to be bound by these Terms, our Privacy Policy, and any additional terms and policies referenced herein.

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

These Terms include a binding arbitration clause and class action waiver in Section 15, which affect your legal rights regarding dispute resolution.

2. Description of Service

Voice Sales Flow AI is a software-as-a-service (SaaS) platform that enables businesses to create, deploy, and manage AI-powered voice sales agents on their websites. The Service includes:

• AI agent creation and configuration tools
• Real-time voice conversation capabilities powered by artificial intelligence
• Embeddable website widgets for customer engagement
• Training document management for AI knowledge bases
• Conversation analytics and reporting dashboards
• Integration APIs for custom implementations
• Subscription management and billing

The Service utilizes third-party AI technology, including OpenAI's Realtime API, to provide voice interaction capabilities. Features and functionality may change over time as we improve the platform.

3. Eligibility and Account Registration

3.1 Eligibility

To use the Service, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction
• Have the legal authority to enter into binding contracts
• Not be prohibited from using the Service under applicable laws
• Not have been previously suspended or removed from the Service

3.2 Account Registration

You must register for an account to access most features of the Service. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

3.3 Business Use

If you are using the Service on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these Terms, and "you" refers to both you individually and the entity.

4. Subscription Plans and Payment

4.1 Subscription Tiers and Free Trial

The Service is offered through the following subscription plans, all of which include a mandatory 7-day free trial:

• Starter Plan ($49/month): For small businesses getting started
• Growth Plan ($149/month): For growing businesses with higher volume
• Scale Plan ($399/month): For enterprises with advanced needs

Each plan includes specific usage limits, features, and support levels as described on our pricing page. Usage beyond plan limits may result in overage charges or service restrictions.

4.2 Free Trial

All subscription plans begin with a 7-day free trial. To start your trial, you must provide valid payment information (credit or debit card). During the trial period:

• You have full access to all features of your selected plan
• Your card will not be charged during the trial period
• You may cancel at any time before the trial ends to avoid charges
• If you do not cancel, your subscription will automatically convert to a paid subscription at the end of the trial period
• Upon conversion, your payment method will be charged the applicable subscription fee

Trial eligibility is limited to one trial per user per subscription tier. We reserve the right to modify or discontinue trial offers at any time.

4.3 Billing and Payment

• Paid subscriptions are billed in advance on a monthly or annual basis
• Payment is processed securely through Stripe
• All fees are quoted and charged in U.S. Dollars (USD)
• Fees are non-refundable except as expressly stated in these Terms
• You authorize us to charge your payment method for all applicable fees

4.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge the payment method on file for the renewal amount.

4.5 Price Changes

We may change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing period. Continued use after a price change constitutes acceptance of the new price.

4.6 Taxes

You are responsible for all applicable taxes, duties, and government charges. If we are required to collect or pay taxes on your behalf, those amounts will be added to your invoice.

5. AI Services and Limitations

5.1 AI-Powered Features

The Service includes AI-powered voice agents ("AI Services") that utilize OpenAI's Realtime API and other third-party AI technologies. By using AI Services, you acknowledge and agree:

• AI outputs may be incorrect, incomplete, biased, or inappropriate
• AI responses do not represent the views of MeTel, Inc
• AI technology has inherent limitations and may produce errors
• You are solely responsible for reviewing and verifying AI-generated content

5.2 Your Responsibilities

When using AI Services, you agree to:

• Review all AI outputs before relying on them for any purpose
• Not use AI Services for medical, legal, or financial advice without human professional review
• Not use AI Services for high-risk decisions affecting individuals (employment, credit, housing, insurance)
• Ensure AI agent prompts and training content comply with applicable laws
• Disclose to your end users that they are interacting with AI when required by law
• Monitor AI agent conversations for quality and appropriateness

5.3 No Warranty on AI Accuracy

DISCLAIMER: AI SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR SUITABILITY OF AI-GENERATED OUTPUTS FOR ANY PURPOSE.

5.4 Third-Party AI Terms

Your use of AI Services is also subject to the terms and policies of our AI providers, including OpenAI's Usage Policies. We reserve the right to modify or discontinue AI features based on third-party provider changes.

6. Acceptable Use Policy

You agree not to use the Service to:

6.1 Prohibited Content

• Create, distribute, or promote illegal content
• Generate hate speech, harassment, or discriminatory content
• Produce or distribute sexually explicit content involving minors
• Create deepfakes or deceptive synthetic media
• Generate content that infringes intellectual property rights
• Produce malware, viruses, or malicious code
• Create content promoting violence, self-harm, or terrorism

6.2 Prohibited Activities

• Attempt to reverse engineer, decompile, or extract source code from the Service
• Circumvent usage limits, security measures, or access controls
• Use the Service for spam, phishing, or fraudulent activities
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or its infrastructure
• Violate any applicable laws, regulations, or third-party rights
• Resell, sublicense, or redistribute the Service without authorization
• Use the Service to develop competing products

6.3 High-Risk Prohibited Uses

The Service may not be used for:

• Autonomous weapons systems or military applications
• Surveillance of individuals without consent
• Critical infrastructure control without human oversight
• Automated decision-making that significantly affects individuals without human review
• Any use prohibited by the EU AI Act or similar regulations

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including its software, design, graphics, logos, and all underlying technology, is owned by MeTel, Inc and protected by copyright, trademark, and other intellectual property laws. Voice Sales Flow AI and associated logos are trademarks of MeTel, Inc.

7.2 Your Content

You retain ownership of content you create, upload, or input into the Service ("Your Content"), including AI agent configurations, training documents, and customizations. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to:

• Use, store, and process Your Content to provide the Service
• Display Your Content as necessary for Service functionality
• Create backups and maintain data integrity

7.3 AI-Generated Outputs

Subject to your compliance with these Terms, you own outputs generated by AI Services based on your inputs. However, you acknowledge that:

• Similar outputs may be generated for other users with similar inputs
• AI outputs may inadvertently resemble third-party content
• You are responsible for ensuring outputs do not infringe third-party rights

7.4 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us an unlimited, irrevocable, perpetual, royalty-free license to use such feedback for any purpose without compensation or attribution.

8. Data Processing and Privacy

Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You represent and warrant that you have obtained all necessary consents and authorizations to input personal information into the Service, particularly regarding:

• Voice data collection from your website visitors
• Processing of conversation content for AI responses
• Storage of analytics data about user interactions

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is marked as confidential or should reasonably be understood to be confidential. Confidential information does not include information that:

• Is or becomes publicly available without breach
• Was rightfully known before disclosure
• Is independently developed without using confidential information
• Is rightfully received from a third party

10. Term and Termination

10.1 Term

These Terms commence when you first access or use the Service and continue until terminated by either party.

10.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial billing periods.

10.3 Termination by Us

We may suspend or terminate your access to the Service:

• Immediately for material breach of these Terms
• Immediately for violation of the Acceptable Use Policy
• Immediately for non-payment after notice and cure period
• With 30 days' notice for any reason or no reason

10.4 Effect of Termination

Upon termination:

• Your right to access and use the Service immediately ceases
• Your AI agents and widgets will stop functioning
• We will delete your data within 30 days (unless legally required to retain)
• All outstanding fees become immediately due
• Provisions that by their nature should survive will survive termination

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF AI OUTPUTS
• WARRANTIES REGARDING THIRD-PARTY SERVICES OR INTEGRATIONS

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• NO CONSEQUENTIAL DAMAGES: METEL, INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.
• AGGREGATE LIABILITY CAP: OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
• AI LIABILITY: WE ARE NOT LIABLE FOR ANY DAMAGES RESULTING FROM AI-GENERATED OUTPUTS, INCLUDING INACCURATE INFORMATION, OFFENSIVE CONTENT, OR BUSINESS DECISIONS BASED ON AI RECOMMENDATIONS.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless MeTel, Inc and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service or violation of these Terms
• Your Content or training materials
• Your AI agents and their interactions with your end users
• Violation of any third-party rights or applicable laws
• Any claims by your end users regarding AI interactions

14. Service Level and Support

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance when possible. Support response times vary by subscription tier.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing any claim, you agree to contact us at legal@voicesalesflow.app to attempt informal resolution. Most disputes can be resolved quickly and satisfactorily through direct communication.

15.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

15.3 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS.

15.4 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or to prevent irreparable harm. Small claims court actions are also permitted.

16. General Provisions

16.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16.2 Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements, constitute the entire agreement between you and MeTel, Inc regarding the Service.

16.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

16.5 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

16.6 Force Majeure

Neither party shall be liable for delays or failures due to causes beyond reasonable control, including natural disasters, acts of government, pandemics, or infrastructure failures.

16.7 Notices

We may send notices via email, in-app notifications, or posting on the Service. Notices to us should be sent to legal@voicesalesflow.app.

17. Affiliate Program

This Section 17 applies to participants in the Voice Sales Flow AI Affiliate Program ("Affiliate Program"). By enrolling in the Affiliate Program, you agree to these additional terms in addition to all other provisions of these Terms of Service.

17.1 Program Enrollment and Eligibility

• You must be at least 18 years of age and legally capable of entering into binding contracts
• You must provide accurate and complete information during registration, including valid payment details
• We reserve the right to accept or reject any affiliate application at our sole discretion
• You may maintain only one affiliate account; duplicate accounts may result in termination and forfeiture of commissions
• You may not refer yourself or entities you own or control to earn commissions

17.2 Commission Structure and Payment

• Commission Rate: Affiliates earn 20% recurring commission on all qualified payments made by referred customers for as long as those customers remain paying subscribers
• Qualified Referrals: A referral is qualified when a new customer signs up using your unique affiliate link and completes a paid transaction
• Cookie Duration: Referral attribution is tracked for 90 days from the initial click on your affiliate link
• Minimum Payout: Commissions are paid out when your balance reaches $50 USD minimum
• Payment Schedule: Payouts are processed monthly, typically within 30 days after the end of each calendar month
• Payment Methods: Payments are made via PayPal or international bank transfer, as specified in your affiliate dashboard
• Refunds and Chargebacks: Commissions will be reversed or deducted for any refunded, disputed, or charged-back transactions
• Currency: All commissions are calculated and paid in U.S. Dollars (USD)

17.3 FTC Disclosure Requirements

LEGAL REQUIREMENT: The Federal Trade Commission (FTC) requires affiliates to clearly and conspicuously disclose their material connection to Voice Sales Flow AI when promoting our services. Failure to comply may result in legal action by the FTC and immediate termination from the Affiliate Program.

• You must include a clear disclosure on any page, post, video, email, or content where you promote Voice Sales Flow AI using your affiliate link
• Disclosures must be prominent, unambiguous, and placed near the affiliate link or promotional content (not hidden in footers or separate pages)
• Example acceptable disclosures: "This post contains affiliate links. I may earn a commission if you sign up." or "Affiliate Disclosure: I receive compensation for referrals."
• You are solely responsible for compliance with FTC guidelines and all applicable advertising and disclosure laws in your jurisdiction

17.4 Prohibited Marketing Practices

Affiliates are strictly prohibited from engaging in the following activities:

• Trademark Bidding: Bidding on "Voice Sales Flow," "VoiceSalesFlow," "MeTel," or any variations, misspellings, or derivative terms in paid search advertising (Google Ads, Bing Ads, Meta Ads, etc.)
• Brand Impersonation: Creating websites, landing pages, social media profiles, or content that could reasonably be mistaken for official Voice Sales Flow AI properties
• Domain Squatting: Registering domain names containing our trademarks, brand names, or confusingly similar variations
• Spam and Unsolicited Communications: Sending unsolicited emails, text messages, or social media messages promoting your affiliate link in violation of CAN-SPAM, TCPA, or similar laws
• Cookie Stuffing: Using any technology or technique to artificially set affiliate cookies without user knowledge or consent
• False Claims: Making false, misleading, or unsubstantiated claims about our services, pricing, capabilities, or results
• Incentivized Signups: Offering cash, rebates, or other incentives directly tied to signing up through your affiliate link (educational content and honest reviews are permitted)
• Adult or Illegal Content: Promoting affiliate links on websites containing adult content, illegal activity, hate speech, or content that violates our Acceptable Use Policy
• Negative SEO: Engaging in any practices intended to harm our search rankings or online reputation

17.5 Intellectual Property

• We grant you a limited, non-exclusive, revocable license to use our approved marketing materials, logos, and brand assets solely for promoting the Affiliate Program
• You may not modify, alter, or create derivative works from our brand assets without prior written approval
• All goodwill generated by your use of our trademarks inures to our benefit
• You must immediately cease all use of our intellectual property upon termination from the Affiliate Program
• We may revoke or modify this license at any time with or without notice

17.6 Confidentiality

As an affiliate, you may receive confidential information including commission rates, promotional strategies, upcoming features, and program statistics. You agree to:

• Keep all confidential information strictly confidential
• Not disclose commission structures, payout details, or internal program information publicly
• Use confidential information solely for participating in the Affiliate Program
• Return or destroy confidential information upon request or termination

17.7 Independent Contractor Status

Affiliates are independent contractors and not employees, agents, partners, or joint venturers of MeTel, Inc. You are solely responsible for:

• Payment of all taxes on affiliate earnings, including self-employment taxes where applicable
• Compliance with all applicable tax reporting requirements (we may issue 1099 forms for U.S. affiliates earning $600 or more annually)
• Your own business expenses, equipment, and insurance
• Any claims, damages, or liabilities arising from your promotional activities

17.8 Affiliate Indemnification

In addition to the general indemnification provisions in Section 13, you specifically agree to indemnify, defend, and hold harmless MeTel, Inc from any claims, damages, losses, or expenses arising from:

• Your promotional activities, content, or marketing materials
• Your failure to comply with FTC disclosure requirements or other advertising laws
• Violation of any third-party rights through your affiliate activities
• Any misrepresentations about Voice Sales Flow AI or its services
• Your use of prohibited marketing practices

17.9 Termination and Commission Forfeiture

• Termination by You: You may terminate your affiliate participation at any time by notifying us in writing. Pending commissions above the minimum threshold will be paid in the next regular payout cycle.
• Termination by Us: We may terminate your affiliate participation at any time, with or without cause, by providing notice to your registered email address.
• Immediate Termination: Violation of these Terms, fraud, or prohibited practices may result in immediate termination without notice.
• Commission Forfeiture: Upon termination for cause (including but not limited to fraud, trademark misuse, or prohibited marketing practices), all pending and unpaid commissions are forfeited.
• Post-Termination: Following termination, you must immediately cease all promotional activities and remove all affiliate links and our marketing materials from your properties.

17.10 Program Modifications

We reserve the right to modify the Affiliate Program terms, commission rates, cookie duration, payment terms, and any other aspects of the program at any time. Material changes will be communicated via email to your registered address with at least 14 days' notice. Your continued participation after changes become effective constitutes acceptance of the modified terms.

17.11 No Guarantee of Earnings

DISCLAIMER: PARTICIPATION IN THE AFFILIATE PROGRAM DOES NOT GUARANTEE ANY INCOME OR EARNINGS. RESULTS VARY BASED ON MANY FACTORS INCLUDING YOUR MARKETING EFFORTS, AUDIENCE, AND MARKET CONDITIONS. WE MAKE NO REPRESENTATIONS REGARDING POTENTIAL EARNINGS. ANY EXAMPLES OF EARNINGS ARE NOT GUARANTEES OF YOUR RESULTS.

17.12 Data Protection

Both parties agree to process any personal data received in connection with the Affiliate Program in compliance with applicable data protection laws, including GDPR and CCPA where applicable. You must maintain your own privacy policy that complies with applicable laws and discloses your use of affiliate tracking technologies.

18. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated with at least 30 days' notice via email or prominent notice on the Service. Your continued use after changes become effective constitutes acceptance of the modified Terms.

If you do not agree to modified Terms, you must stop using the Service and cancel your subscription before the changes take effect.
